Terms
Terms of service
Last updated 17 October 2026 · Effective 17 October 2026
These terms are the agreement between Yotra and the organisation that uses it, and they apply to everyone who signs in. We have tried to keep them short and plain. Please read them before you use Yotra.
The agreement
"Yotra", "we" and "us" mean the business that runs Yotra. "Your organisation" means the firm or company that sets up a Yotra workspace, and "you" means your organisation and each person it lets use Yotra. "Your data" means everything your organisation and its people put into Yotra or bring into it by connecting a mailbox, calendar or note-taker.
Whoever accepts these terms for an organisation confirms they are allowed to do so. If your organisation has signed a separate written agreement with us, that agreement wins where the two differ. Our privacy policy explains how we handle personal data and forms part of these terms.
Early access
Yotra is in early access. We are opening it to a small group of teams while we build it. That means:
- Features will change, and some may be added, reworked or removed.
- There may be faults, and the service may sometimes be slow or unavailable.
- We may ask for your feedback, and we would value it.
Please keep your own records of anything critical, such as statutory filings and client commitments, in addition to Yotra, while we are in early access.
Accounts and admins
- People sign in with their Microsoft or Google work account, or through an invitation from their organisation.
- Your organisation's admins decide who can use the workspace, what each person can see and do, which features are on (including AI), and when someone leaves. Admins can invite, change and deactivate people.
- Your organisation is responsible for what happens under its accounts, for keeping its people's sign-in accounts secure, and for making sure they follow these terms.
- Tell us at once at hello@yotrahq.com if you think someone has got into your workspace without permission.
Acceptable use
Use Yotra for your organisation's legitimate work. Do not:
- Break the law, or use Yotra to infringe anyone's rights, including privacy and intellectual property.
- Connect a mailbox, calendar or note-taker account you are not entitled to use, or bring in data you have no right to process.
- Send spam or unlawful, harassing or deceptive messages through Yotra.
- Upload malware, or try to get into other organisations' data, our systems, or accounts that are not yours.
- Probe, scan or test Yotra's security, or overload it, without our written permission.
- Copy, resell or rent out Yotra, or reverse-engineer it except where the law allows.
- Use Yotra or its AI to build a competing product, or to make decisions with legal or similarly significant effects on people without human review.
Your data
- You own it. Your organisation keeps all rights in its data. We claim none.
- We use it only to run Yotra for you. You give us permission to store, copy and process your data only as needed to provide, secure and support Yotra for your organisation, and as our privacy policy describes. We act as your organisation's data processor for it.
- Each organisation is kept apart. Your data is isolated from other organisations' at the database level.
- You can take it with you. You can export your clients, contacts, registrations, tasks and people to Excel from Settings at any time. For anything else, ask us and we will give you a copy in a common format.
- You are responsible for having the right to it. Your organisation is responsible for the lawfulness of the data it puts in Yotra and for any notices or consents the law requires, including towards its staff and clients.
AI output
Yotra includes Sakha, an AI assistant, and AI that reads engagement letters to propose the work in them. AI can be wrong, incomplete or out of date.
- Sakha drafts; people send. Sakha does not send an email or make a large change without a person confirming it.
- Check AI output before you rely on it, act on it or send it to anyone, especially dates, amounts and statutory obligations. You are responsible for what you send and decide.
- AI output is not legal, tax, accounting or other professional advice.
- Your admin can switch AI off, feature by feature, and set a monthly limit on its cost.
As between you and us, you own the output Sakha produces for you, to the extent the law allows.
Third-party services
Yotra works with services run by others: Microsoft 365 and Outlook, Google Workspace and Gmail, and meeting note-takers such as Fireflies, Read AI and Otter. Your use of those services is governed by your own agreements with them. We are not responsible for them, for their availability, or for changes they make that affect how Yotra works with them. If a provider withdraws or limits access, the related Yotra features may stop working.
When you connect one of these services, you allow Yotra to access it on your behalf, within the permissions you approve on that provider's consent screen, to provide the features you use.
Fees
Yotra is free during early access unless we agree otherwise in writing. Before we start charging, we will tell your organisation the price and plan, with enough notice to decide whether to continue. Nothing will be charged without your organisation's agreement. Prices, once agreed, are exclusive of taxes such as GST, which are added where they apply.
Confidentiality
Each of us may see the other's confidential information: for us, your data and your business; for you, anything about Yotra we share that is not public, such as plans and pricing. Each of us will keep the other's confidential information secret, use it only for this agreement, and share it only with people and service providers who need it and are bound to keep it confidential. This does not cover information that is public through no fault of the receiver, that the receiver already had or developed independently, or that the law requires to be disclosed, in which case the receiver will give notice where it lawfully can.
Our service and your feedback
We own Yotra, its software, design and brand. These terms give your organisation the right to use Yotra for its internal work while they are in force, and nothing more. If you send us ideas or feedback, we may use them freely, without any obligation to you.
Availability
During early access, Yotra is provided "as is" and "as available". We work to keep it running and your data safe, but we do not promise that it will be uninterrupted, error-free, or fit for a particular purpose. To the extent the law allows, we exclude all warranties not stated in these terms. We may carry out maintenance, which sometimes means short interruptions.
Limitation of liability
To the extent the law allows:
- Neither of us is liable to the other for indirect or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings, however it arises.
- Our total liability arising out of or relating to Yotra and these terms, in any twelve-month period, is limited to the fees your organisation paid us for Yotra in that period, or ten thousand Indian rupees (₹10,000) if that is greater.
- Nothing in these terms limits liability that cannot be limited by law, such as for fraud.
Yotra helps you track deadlines and replies, but your organisation remains responsible for meeting its own statutory, contractual and professional obligations.
Your responsibility for your content
If someone brings a claim against us because of data your organisation put into Yotra without the right to do so, or because of your use of Yotra in breach of these terms, your organisation will cover our reasonable losses and costs from that claim. We will tell you promptly about the claim and let you take part in handling it.
Suspension and ending
- You can stop at any time by telling us at hello@yotrahq.com. Any person can disconnect their mailbox, calendar or note-taker whenever they like.
- We may suspend an account or workspace, or part of it, if it is needed to protect Yotra, other customers or the public, if there is a serious or repeated breach of these terms, or if the law requires. Where we reasonably can, we will warn you first and give you a chance to put things right.
- We may end early access for your organisation, or Yotra as a whole, with at least 30 days' notice, unless we have to act sooner for legal or security reasons.
- Your data afterwards. When the agreement ends, your organisation has 30 days to export its data, and we will help. After that we delete it from Yotra, except anything the law requires us to keep, and except copies in backups, which are overwritten over time.
The sections on your data, confidentiality, liability, your responsibility for your content and governing law continue after the agreement ends.
Governing law
These terms are governed by the laws of India. The courts of Pune, Maharashtra, have exclusive jurisdiction over any dispute arising out of or relating to them. Before going to court, each of us will first try in good faith to settle the dispute by talking to the other.
Changes to these terms
We may update these terms as Yotra changes. The date at the top shows the latest version. If a change matters, we will tell your organisation's admins at least 14 days before it takes effect, unless it is needed sooner for legal or security reasons. If you do not agree with a change, you can stop using Yotra and take your data with you. Using Yotra after a change takes effect means you accept it.
General
- Neither of us is responsible for delays or failures caused by events beyond our reasonable control.
- Your organisation may not transfer this agreement without our written agreement. We may transfer it as part of a merger, acquisition or sale of our business, and will tell you if we do.
- If any part of these terms cannot be enforced, the rest still applies.
- Not enforcing a right straight away does not mean giving it up.
- These terms, the privacy policy and any written agreement between us are the whole agreement about Yotra.
- Notices to us go to hello@yotrahq.com. Notices to your organisation go to its admins' email addresses in Yotra.
